On behalf of the Board of Directors, we cordially invite you to our 2017 Annual Meeting of Stockholders to be held on Tuesday, April 11, 2017 at 9 a.m., Eastern time, at 101 Barclay Street, New York, New York 10286.

At this year’s Annual Meeting, you will be asked to vote on several items, including the election of directors, our 2016 executive compensation program (the “say-on-pay vote”), the frequency with which we should conduct a say-on-pay vote and a stockholder proposal, if properly presented.
